We are dedicated to improving the transparency of our governance rules in order to provide assurance in the system and mechanism for our corporate governance and promote the high-quality governance.
Corporate Governance Structure
Huaneng Power International strictly complies with the Corporate Law of the People’s Republic of China and other related laws and regulations and actively responds to the requirements of regulators. Our corporate governance structure consists of the general conference of shareholders, the board of directors, the board of supervisors, and management team, all of which are systematically improved from the aspects of our articles of association, management framework, institutional system, working rules and management process, etc. We also have established an operation mechanism in which the owner, the legal person and operators perform their own responsibilities and functions and mutually supervise each other for coordinated operation of the company, so as to ensure our management team can effectively deal with routine businesses as authorized. The number of independent non-executive directors in our board of directors accounts for 1/3 of the board members, which further ensures legal rights and interests of our stockholders, especially the minority stockholders, and also further broadens the horizon of our decision-makers and improves their ability of making scientific decisions. We have gradually improved working regulations applicable to various special committees under the board of directors, so that they can fulfill their duties better.
